Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Skillz Vault website, account pages, subscription flow, desktop app, skill catalog, and related access services (together, the "Service") operated under the Skillz Vault name ("we," "us," or "our").
Skillz Vault is operated by Romanovskii Arsenii as an individual operator, not by a company, corporation, or other separate legal entity.
By accessing or using the Service, creating an account, starting a subscription, downloading the desktop app, or enabling skills, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
Description of Service
Skillz Vault is a paid desktop application and online account service for discovering, managing, and installing ready-made AI agent skills locally. The Service includes a curated skill library, account access, subscription verification, desktop activation, catalog access, and local skill installation workflows.
Skillz Vault is a library and installer for ready-made skills. It does not guarantee that a skill will be suitable for your specific project, environment, AI tool, workflow, or legal/compliance requirements.
User Accounts
You may need an account to subscribe, manage access, generate desktop access codes, or use subscription-protected features. When you create or use an account, you agree to provide accurate and current information and to keep access to your account secure.
You are responsible for all activity under your account and for notifying us promptly if you believe your account, login code, desktop access code, or device access has been compromised.
We may suspend or terminate accounts that violate these Terms, create security risk, abuse the Service, or attempt to bypass subscription or device limits.
Age Requirements
You must be at least 18 years old, or the age of legal majority where you live, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Subscriptions, Payments, and Cancellation
Skillz Vault costs $48 USD per year, billed annually, unless a different price or plan is shown to you at checkout. The current PayPal plan is a yearly Skillz Vault subscription with a $0 setup fee, a one-year billing cycle, recurring billing until canceled, and access for up to two active devices.
Subscription checkout and recurring payment processing are handled by PayPal. By starting a subscription, you authorize PayPal to charge your selected payment method every year until the subscription is canceled or otherwise ends. PayPal may apply its own terms, policies, payment rules, taxes, currency conversion, funding-source rules, and dispute processes.
You are responsible for keeping your PayPal payment method current. If a payment fails, PayPal may retry the payment according to its subscription rules. Skillz Vault access may pause, suspend, or end after one missed billing cycle or an expired subscription. The current PayPal plan is not intentionally configured to automatically bill outstanding unpaid subscription balances in a later billing cycle.
You may cancel the recurring subscription through your PayPal account's automatic payment or subscription controls, or by contacting us at info@aiskillzvault.com for help. Cancellation stops future renewal charges but does not automatically refund amounts already paid. Access may continue until the end of the paid subscription period unless we state otherwise, PayPal reverses or terminates the payment, or applicable law requires a different result.
Payments are generally non-refundable except where required by law or where we expressly state a different refund policy.
Desktop App Access and Device Use
The desktop app may require subscription verification and a desktop access code connected to your account. A subscription may be limited to a maximum number of active devices, currently up to two active devices per subscription unless we state otherwise.
You may not share, resell, publish, transfer, or misuse access codes, catalog tokens, refresh tokens, or other access credentials. We may revoke or rotate access credentials to protect the Service, enforce device limits, or respond to suspected abuse.
License to Use the Service
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Skillz Vault desktop app and access the skill catalog for your personal or internal business use.
You may not copy, rent, lease, sell, sublicense, redistribute, modify, reverse engineer, decompile, or attempt to extract source code from the Skillz Vault desktop app or hosted Service, except where such restriction is prohibited by applicable law.
You may not copy, reproduce, scrape, mirror, redistribute, sell, sublicense, or create a competing service from the Skillz Vault website, desktop app, user interface, branding, catalog organization, rankings, original descriptions, summaries, metadata, marketing copy, or other original Skillz Vault content, except as expressly allowed by these Terms or applicable law.
This restriction does not limit rights you may have under the original open-source licenses for third-party skills included in the catalog.
Skills, Third-Party Content, and Third-Party AI Tools
The skill catalog may include skills, metadata, workflows, instructions, examples, links, or other materials from third-party sources. Third-party skills may be subject to their own open-source or third-party license terms, notices, and attribution requirements.
You are responsible for reviewing a skill before using it, including its instructions, license, compatibility, and any external tools, accounts, APIs, credentials, or services it may require. Some skills are templates or review workflows and may require your own judgment before use.
Skillz Vault may be used with third-party AI tools such as Codex, Claude, Cursor, and other AI agents. These tools are separate services and are not controlled by Skillz Vault. We do not guarantee that every skill will work with every AI tool, model, version, operating system, or local setup.
Open-Source and Third-Party Skill Licenses
The current Skillz Vault catalog consists of third-party open-source skills collected from public repositories and third-party projects under permissive open-source licenses, including MIT and Apache License 2.0. If Skillz Vault-authored skills are added in the future, they will be identified separately from third-party skills.
Unless a different license is stated for a specific skill, Skillz Vault-authored skills are intended to be licensed under the Apache License 2.0. This license applies only to the skill files and related skill instructions that we expressly identify as Skillz Vault-authored skills. It does not license the Skillz Vault desktop app, website, branding, user interface, subscription service, catalog database, rankings, or other proprietary Service materials.
We aim to preserve and display the relevant author attribution, repository or source references, copyright notices, license texts, and NOTICE files where required by the applicable license.
Third-party skills remain subject to their original license terms. You are responsible for complying with any third-party or open-source license terms that apply to skills you enable, copy, modify, redistribute, or use in your own projects.
Skillz Vault may show, store, transfer, or include license notices, attribution, source names, repository names, and related metadata as part of the catalog and desktop app. If you believe a license notice, attribution, or source reference is missing or inaccurate, contact us at info@aiskillzvault.com.
AI Output and No Professional Advice
Skills provide workflow instructions, examples, constraints, and reusable context for AI tools. They do not guarantee correct, complete, secure, lawful, or suitable output from any AI model or third-party AI tool.
You are responsible for reviewing and testing AI outputs before relying on them, including code, security recommendations, legal, financial, medical, compliance, migration, documentation, or operational outputs. Skillz Vault does not provide legal, financial, medical, security, compliance, or other professional advice.
Acceptable Use
You agree not to use the Service to:
- Violate applicable laws, regulations, third-party rights, or third-party service terms
- Bypass, disable, abuse, or interfere with account, subscription, catalog, device, or access controls
- Share, publish, sell, or transfer subscription access, desktop access codes, tokens, or protected catalog downloads
- Attempt to gain unauthorized access to the Service, other accounts, systems, or networks
- Upload, transmit, or distribute malicious code, malware, credential theft tools, or harmful automation
- Use the Service to generate, facilitate, or conceal illegal, harmful, infringing, or abusive activity
- Scrape, crawl, mirror, or bulk extract the Service or catalog except as expressly permitted by us
Export Controls and Sanctions Compliance
You are responsible for complying with export control, sanctions, import, and trade compliance laws that apply to your access, download, installation, or use of the Service, desktop software, catalog, and skills.
You may not access, download, export, re-export, transfer, or use the Service where doing so is prohibited by applicable sanctions, embargoes, export controls, or trade restrictions, or for a person or entity with whom transactions are prohibited under applicable law.
Intellectual Property
Skillz Vault, the desktop app, website, user interface, branding, logos, design, source code, catalog organization, and original content are owned by us or our licensors and are protected by intellectual property laws.
Third-party skills and third-party materials remain owned by their respective owners and are provided subject to their applicable licenses and notices. Nothing in these Terms transfers ownership of third-party skills to Skillz Vault or to you.
If you send feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback to improve or develop the Service without obligation to compensate you.
Privacy

Third-Party Services and Links
The Service may link to or interact with third-party websites, payment providers, AI tools, repositories, APIs, or other services. We are not responsible for third-party services, their availability, their content, their output, or their terms and policies.
Changes to the Service
We may modify, update, suspend, remove, or discontinue parts of the Service, including skills, catalog entries, compatibility information, desktop app features, and subscription-protected functionality. We will try to provide reasonable notice for material changes when practical.
Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Skillz Vault disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.
We do not warrant that the Service, desktop app, catalog, skills, downloads, AI tool integrations, or third-party materials will be uninterrupted, error-free, secure, compatible with your setup, or suitable for your intended use.
Limitation of Liability
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business interruption, or other intangible losses arising from or related to your use of or inability to use the Service.
To the maximum extent permitted by applicable law, our total liability for any claim related to the Service shall not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid to Skillz Vault for the Service during the twelve months before the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless us from claims, damages, liabilities, losses, and expenses arising from your use of the Service, your violation of these Terms, your violation of third-party rights, or your use of skills, third-party AI tools, or third-party services.
Governing Law
To the extent permitted by law, these Terms are governed by the laws of the Russian Federation, without regard to conflict of law rules. Any mandatory consumer protection rights in your country or region remain unaffected.

Changes to Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we will try to provide reasonable notice where practical.
Your continued use of the Service after updated Terms are posted means you accept the revised Terms.
